OCP Group prices $1.5bn hybrid bond in landmark first for African corporate issuers

OCP Group has successfully priced a $1.5 billion inaugural international hybrid bond, marking a historic first as the first dollar-denominated hybrid ever issued by an African corporate. The transaction was significantly oversubscribed, attracting strong investor demand across global markets.

While the issuance itself represents a milestone in the group’s capital market strategy, a key underlying theme of the investor materials is the increasing strategic importance of Triple Superphosphate (TSP) within OCP’s industrial and commercial model.

TSP is presented not as a marginal product adjustment but as a structural pivot in OCP’s response to global input volatility. The group emphasizes that TSP requires significantly less sulfur and no ammonia, two inputs currently under pressure due to geopolitical tensions and supply chain disruptions. This positions TSP as a critical buffer against raw material volatility, particularly in a context where sulfur markets have tightened following disruptions in major transport routes.

Beyond its input advantages, TSP is described as part of OCP’s broader “4R” agronomic approach—ensuring the right nutrient source, at the right dose, at the right time, and in the right place. This customization strategy allows the group to optimize fertilizer efficiency while reducing nutrient losses and improving agricultural yields.

The importance of TSP is also reflected in its growing share within OCP’s output. The product accounted for around 30% of volumes in 2025 and is expected to exceed 50% by 2026, signaling a major structural shift in the group’s production and export strategy. This acceleration is reinforced by strong demand growth in key export markets, including India, where TSP sales have surpassed one million tonnes.

OCP also highlights that its export volumes of TSP have more than doubled over the past two years, reflecting both market demand and internal flexibility to reallocate production in response to input constraints.

The group positions TSP as a key instrument of operational resilience. In a context of supply uncertainty, particularly regarding sulfur availability, OCP’s ability to shift production toward less input-intensive products is presented as a competitive advantage. This flexibility is complemented by diversified sourcing strategies and long-term supply contracts across multiple geographies.

The company also notes that this adaptability is further reinforced by its vertically integrated industrial model, allowing rapid adjustments in production planning and export allocation depending on market and input conditions.

The hybrid bond itself is structured to optimize OCP’s capital position while preserving investment-grade metrics. Rated Baa3/BBB- by major agencies, the instrument is treated as 100% equity under IFRS and partially as equity credit by rating agencies, supporting balance sheet flexibility.

The transaction comes at a time when global fertilizer markets are experiencing structural tightening, driven by sustained demand growth of approximately 3% annually through 2030 and constrained supply conditions in several producing regions. In this environment, OCP’s ability to optimize its product mix—particularly through TSP expansion—is increasingly central to its competitive positioning.

While the $1.5 billion hybrid issuance marks a financial milestone, the underlying strategic message is equally important: OCP is actively reshaping its industrial model, with TSP emerging as a cornerstone of its response to global input volatility and evolving fertilizer demand dynamics.
